These Terms of Service ("Terms") govern your access to and use of the JoinPing platform, website, applications, products, and related services (together, the "Service"). The Service is operated by Afterchat AB, a Swedish company based in Stockholm, Sweden ("JoinPing", "we", "us", or "our"). By accessing or using JoinPing, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms should be read together with our Privacy Policy and any additional policies, guidelines, or rules made available through the Service. The same Terms apply to all users of JoinPing, including Experts.
1. Description of the Service
JoinPing is a platform that enables users ("Users") to send paid questions, messages, or requests to participating experts ("Experts") and receive responses. JoinPing provides the technology platform, credit system, account infrastructure, and payment-related tools that enable these interactions. Experts are independent providers and are not employees, agents, or representatives of JoinPing.
2. Eligibility
You must be at least 18 years old to use JoinPing. By using the Service, you confirm that you have the legal capacity to enter into these Terms and that your use of the Service complies with all applicable laws and regulations. If you use JoinPing on behalf of a company, organisation, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, references to "you" include both you personally and the entity on whose behalf you use the Service. JoinPing may apply additional or separate terms to business users, Experts, agencies, partners, enterprise customers, promotional campaigns, or commercial use cases.
3. Accounts
You may need to create an account to use certain parts of the Service. You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You must provide accurate, complete, and up-to-date information. You must not impersonate another person or entity or create an account using false or misleading information. You must notify JoinPing promptly if you become aware of any unauthorized access to your account or any other security breach. JoinPing may suspend, restrict, or terminate your account if we believe that you have violated these Terms, applicable law, payment provider rules, or platform policies.
4. Ping Credits, Payments, Refunds, and Payouts
4.1 Ping Credits JoinPing operates using an internal credit system called "Ping Credits". Ping Credits are digital credits that may be purchased by Users and used exclusively within the Service to send questions, messages, or requests to Experts. Ping Credits: • are not legal tender • are not electronic money • are not a bank deposit • are not a financial instrument • have no monetary value outside the Service • are non-transferable unless expressly permitted by JoinPing • may not be redeemed for cash by Users, except where required by applicable law 4.2 Purchase of Ping Credits Users may purchase Ping Credits using payment methods made available through the Service. Payments may be processed by third-party payment providers, including Stripe or other providers selected by JoinPing. Prices, fees, taxes, and the number of Ping Credits received will be shown before purchase. Unless otherwise stated, prices shown to consumers include applicable VAT where required by law. All purchases of Ping Credits are final except as expressly stated in these Terms or where required by applicable law. 4.3 Use of Ping Credits Ping Credits may be used to send questions, messages, or requests to Experts. Once Ping Credits are spent on an Expert interaction, the transaction is considered completed, subject to the refund request process below. JoinPing may suspend, revoke, or adjust Ping Credits in cases of suspected fraud, misuse, chargebacks, technical errors, breach of these Terms, or other conduct that may harm JoinPing, Users, Experts, payment providers, or third parties. 4.4 Refund Requests Users may request a refund of spent Ping Credits by submitting a reason through the Service. Refund requests must be submitted within 24 hours of the User first viewing, opening, or otherwise being shown the Expert’s response as recorded by the Service. Refunds are not guaranteed and will be evaluated by JoinPing on a case-by-case basis. Refunds may be granted, for example, if: • the Expert does not respond within the stated timeframe • the response is clearly unrelated to the question • there is evidence that the Expert did not personally provide the response, including use of automated or AI-generated answers without disclosure or permission • there is evidence of technical error, misuse, fraud, or abuse JoinPing may deny refund requests that are late, abusive, unsupported, repeated, made in bad faith, or otherwise inconsistent with these Terms. All refund decisions made by JoinPing are final, except where mandatory law provides otherwise. Approved refunds are issued in Ping Credits only and not in cash, unless required by applicable law. 4.5 Starter Credits and Promotional Credits JoinPing may, from time to time, grant free or promotional Ping Credits, including starter credits, referral credits, campaign credits, or other credits funded by JoinPing ("Starter Credits"). Starter Credits are granted at JoinPing’s sole discretion and may be subject to eligibility requirements, limits, expiry periods, usage restrictions, fraud checks, and other conditions determined by JoinPing. To become eligible for Starter Credits, a User may be required to connect and verify a qualifying social media account or other external account. JoinPing may require that such account is authentic, controlled by the User, in good standing, and older than six (6) months. Users and Experts are strictly prohibited from abusing Starter Credits, including by creating, controlling, coordinating, purchasing, or using fake accounts, duplicate accounts, related accounts, or third-party accounts to ask questions, generate Expert activity, obtain credits, increase balances, trigger payouts, manipulate rankings, or otherwise misuse promotions. JoinPing may deny, delay, revoke, expire, or limit Starter Credits where we believe there is a risk of fraud, fake accounts, self-dealing, collusion, artificial activity, promotional abuse, or violation of these Terms. Starter Credits have no cash value, are non-transferable, are not refundable in cash, and may not be redeemed or withdrawn. 4.6 Chargebacks and Payment Disputes If you initiate a chargeback, payment reversal, or payment dispute without first using JoinPing’s refund process, JoinPing may suspend your account, freeze your Ping Credits, restrict your access to the Service, and investigate the transaction. JoinPing may deduct or reverse Ping Credits or Expert balances connected to refunded, reversed, disputed, or fraudulent transactions. 4.7 Expert Earnings and Business Payouts Only Experts operating through an eligible business may earn value through JoinPing. To receive value from paid User interactions, an Expert must connect and verify an eligible business account through Stripe Connect or another payment provider selected by JoinPing. Before approving an Expert for business verification, payout eligibility, or any payout request, JoinPing reserves the right to review the Expert’s activity for fake questions, self-dealing, collusion, artificial activity, promotional abuse, suspicious User accounts, or other misuse of the Service. Individual consumer accounts, unverified accounts, and accounts that have not completed the required business verification process are not eligible to earn redeemable balances, convert Ping Credits, or receive cash payouts. Expert balances are reflected within the Service and are subject to JoinPing’s payout rules, fees, refund rules, fraud checks, and payment provider requirements. Payouts are made only to verified business accounts and are subject to: • successful identity, business, beneficial ownership, and payment verification • applicable payout thresholds • applicable fees • tax and compliance requirements • fraud, abuse, refund, and chargeback review • payment provider availability and rules Ping Credits and internal Expert balances do not constitute cash, electronic money, a bank deposit, or a right to payment until JoinPing has approved a payout request and the relevant payment provider has processed the payout. JoinPing may delay, withhold, reverse, or adjust payouts where we believe it is necessary due to suspected fraud, misuse, breach of these Terms, unresolved disputes, refund requests, chargebacks, legal obligations, payment provider requirements, sanctions screening, or technical error. Experts are solely responsible for taxes, invoices, accounting, and reporting obligations arising from their earnings.
5. EU Consumer Rights and Digital Service Performance
If you are a consumer in the European Union or European Economic Area, you may have mandatory consumer rights under applicable law. Where required, by purchasing Ping Credits and using them immediately, you expressly consent to the immediate performance of the digital service and acknowledge that you may lose any statutory right of withdrawal once the service has been fully performed or the digital content has been supplied, to the extent permitted by applicable law. Nothing in these Terms limits any mandatory rights you may have as a consumer under Swedish or EU law.
6. Role of JoinPing
JoinPing is a technology platform that facilitates interactions between Users and Experts. JoinPing is not responsible for Expert responses, Expert opinions, User questions, or any decisions made based on interactions through the Service. Unless expressly stated otherwise, JoinPing does not verify, endorse, guarantee, or certify any Expert’s qualifications, credentials, background, statements, opinions, or responses. Use of the term "Expert" does not mean that JoinPing guarantees that a person has any particular qualification, license, certification, professional status, or expertise.
7. Informational Use Only; No Professional Advice
Expert responses and all content provided through JoinPing are for general informational and educational purposes only. Nothing provided through the Service constitutes legal, financial, tax, investment, medical, psychological, therapeutic, professional, or other regulated advice. No lawyer-client, doctor-patient, therapist-client, financial advisor-client, fiduciary, professional-client, employment, agency, or similar relationship is created through use of JoinPing. Even if an Expert is licensed, certified, or professionally qualified in a particular field, communications through JoinPing are not a substitute for advice from a qualified professional familiar with your specific circumstances. You are solely responsible for your own decisions, actions, omissions, and conclusions based on any information received through the Service. JoinPing does not guarantee the accuracy, completeness, reliability, legality, safety, suitability, or usefulness of any Expert response.
8. Expert Obligations
Experts agree to: • provide responses in good faith • personally prepare and provide their responses • comply with all applicable laws, regulations, and professional obligations • provide accurate account, identity, tax, and payout information • not misrepresent their identity, experience, credentials, affiliation, or availability • not provide illegal, harmful, fraudulent, misleading, or deceptive content • not provide regulated professional advice where they are not authorized to do so • not misuse User information or contact Users outside the Service in violation of these Terms • not manipulate, abuse, or circumvent the Ping Credits system 8.1 No Undisclosed AI or Automated Responses Experts must personally prepare and provide paid responses. Experts may not use bots, automated systems, AI tools, third-party ghostwriters, or other non-personal methods to generate, draft, or materially assist with paid responses unless JoinPing expressly permits such use and the use is clearly disclosed to the User. JoinPing may suspend or terminate Expert accounts, deny payouts, reverse balances, or issue refunds where we believe an Expert has provided non-personal, automated, AI-generated, misleading, or outsourced responses in violation of these Terms.
9. User Conduct
Users agree not to: • harass, threaten, abuse, defame, stalk, exploit, or intimidate Experts or other Users • submit illegal, harmful, misleading, hateful, discriminatory, or abusive content • request illegal, regulated, exploitative, or unsafe services • misuse refund, chargeback, or dispute mechanisms • attempt to obtain free services through fraud or manipulation • impersonate another person or entity • interfere with the operation, security, or integrity of the Service • scrape, copy, index, or harvest data from the Service without permission • attempt to bypass, reverse engineer, or interfere with the Service • circumvent JoinPing’s payment, credit, or payout systems
10. Prohibited Content and Conduct
You may not use JoinPing to create, submit, request, promote, or distribute content or services that involve: • illegal activity or instructions to commit illegal acts • fraud, scams, phishing, deception, or impersonation • hate, harassment, threats, or incitement to violence • self-harm encouragement or exploitation of vulnerable persons • sexual exploitation, sexual services, pornography, nudity, or sexually explicit paid interactions • content involving minors in a sexual, exploitative, abusive, or unsafe context • non-consensual intimate content • malware, viruses, spyware, or other harmful code • infringement of intellectual property, privacy, publicity, or other third-party rights • regulated goods or services where prohibited by law or payment provider rules • attempts to evade sanctions, anti-money laundering controls, tax rules, or payment compliance requirements JoinPing may remove content, suspend accounts, deny payouts, issue refunds, report unlawful conduct to relevant authorities, or take other action where we believe these rules have been violated.
11. Anti-Circumvention
Users and Experts may not use JoinPing to identify, contact, solicit, or transact with each other for the purpose of avoiding JoinPing fees, Ping Credits, payment flows, platform rules, or payout systems. Experts may not encourage Users to pay, message, book, or interact outside JoinPing in a way that circumvents the Service. Users may not request off-platform transactions from Experts. Violation of this section may result in account suspension or termination, loss of access to Ping Credits, denial or reversal of Expert payouts, and other remedies available to JoinPing.
12. Content Ownership, License, and Responsibility
You retain ownership of content you submit to JoinPing, subject to the rights granted in these Terms. By submitting content to the Service, including questions, messages, responses, profile information, images, audio, video, links, and other materials, you grant JoinPing a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, modify, adapt, translate, create derivative works from, and otherwise use such content for the purposes of operating, providing, securing, improving, developing, marketing, and promoting the Service. You represent and warrant that: • you have all rights necessary to submit the content • your content does not infringe intellectual property rights, privacy rights, publicity rights, or other third-party rights • your content does not violate applicable law or these Terms • your content does not contain malware, harmful code, spam, or deceptive material JoinPing does not endorse User or Expert content and is not responsible for it.
13. Expert Marketing Rights
Experts grant JoinPing the right to use their name, profile image, likeness, biography, handle, public profile information, availability, and public-facing JoinPing profile content for the purpose of operating, displaying, marketing, promoting, and improving the Service. This may include use in JoinPing’s website, app, social media, email, advertisements, investor materials, press materials, app store listings, and other marketing or promotional channels. JoinPing will not imply that an Expert endorses a specific third-party product or service unless separately agreed. For Users who are not Experts, JoinPing will not use your name, image, likeness, or private messages in advertising without your consent, except where permitted by law or where content is anonymized or aggregated.
14. No Unauthorized Recording or Commercial Redistribution
Unless expressly permitted by JoinPing and, where applicable, the relevant Expert or User, you may not record, copy, reproduce, publish, distribute, sell, license, scrape, train AI systems on, or otherwise commercially exploit Expert responses, User questions, or private interactions outside the Service. This includes selling, licensing, mass-distributing, or using paid Expert responses in commercial products, AI datasets, advertisements, or other commercial channels without permission. JoinPing may suspend or terminate accounts and take other action against unauthorized recording, commercial redistribution, or exploitation of content. Nothing in this section limits rights that cannot be waived under mandatory law.
15. Moderation, Reporting, and Enforcement
JoinPing may, but is not obligated to, review, monitor, remove, restrict, block, disable, or refuse content or accounts where we believe that content or activity: • violates these Terms • violates applicable law • violates payment provider rules • may harm JoinPing, Users, Experts, or third parties • may expose JoinPing to legal, regulatory, financial, reputational, or security risk Users may report illegal, abusive, infringing, or policy-violating content through the reporting tools made available in the Service or by contacting support@joinping.com. JoinPing may act unilaterally and without prior notice where necessary to protect the Service, comply with law, prevent harm, enforce these Terms, or respond to payment, fraud, security, or legal risks.
16. Intellectual Property Complaints
JoinPing respects intellectual property rights. If you believe that content on JoinPing infringes your copyright, trademark, or other intellectual property rights, you may notify us at support@joinping.com with sufficient information to identify the allegedly infringing content and your rights. JoinPing may remove or restrict access to allegedly infringing content and may suspend or terminate accounts of repeat infringers.
17. Third-Party Services and Links
The Service may contain links or references to third-party websites, services, tools, payment providers, or materials. JoinPing does not control, endorse, verify, or assume responsibility for third-party content, services, websites, products, offerings, conduct, or practices. Your use of third-party services, including payment and payout providers such as Stripe, may be subject to separate terms and privacy policies from those providers. If you access third-party websites, services, or resources through JoinPing, you do so at your own risk.
18. Limited License to Use the Service
Subject to your continued compliance with these Terms, JoinPing grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited right to access and use the Service for its intended purpose. You may not copy, modify, reverse engineer, disassemble, decompile, scrape, frame, mirror, resell, commercially exploit, or create derivative works from the Service or any part of it except as expressly permitted by JoinPing or mandatory law. All rights not expressly granted to you are reserved by JoinPing and its licensors.
19. Availability, Changes, and Service Limits
JoinPing may modify, suspend, discontinue, restrict, or change any part of the Service at any time. We do not guarantee that the Service will be uninterrupted, secure, error-free, or available at all times. JoinPing may introduce, modify, or remove features, pricing, Ping Credit packages, payout rules, refund rules, Expert categories, or platform policies from time to time. Certain Experts, features, prices, content, or availability may vary depending on location, language, account status, payment method, compliance requirements, or other criteria determined by JoinPing. You are responsible for ensuring that you have the hardware, software, internet connection, and other technical requirements necessary to access and use the Service. JoinPing is not responsible for defects, delays, or limitations caused by your device, software, network, internet provider, or third-party services outside our control.
20. Force Majeure
JoinPing shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond JoinPing’s reasonable control, including fire, flood, natural disaster, pandemic, war, terrorism, riot, civil disorder, labour dispute, government action, court order, power outage, internet or telecommunications failure, payment provider outage, third-party service failure, cyberattack, or other similar events beyond our reasonable control.
21. Termination
You may stop using JoinPing at any time. JoinPing may suspend, restrict, or terminate your access to all or part of the Service at any time if we believe you have violated these Terms, applicable law, payment provider rules, or platform policies, or if your use creates legal, financial, reputational, security, or operational risk. Upon termination, your right to use the Service will cease. Sections that by their nature should survive termination will survive, including sections relating to payments, refunds, payouts, content rights, restrictions on redistribution, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.
22. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, JoinPing disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and security. JoinPing does not warrant that: • the Service will be uninterrupted, error-free, secure, or free from harmful components • Expert responses will be accurate, useful, complete, lawful, or suitable for your needs • any particular Expert will respond • any outcome, result, benefit, or decision will result from use of the Service
23. Limitation of Liability
To the fullest extent permitted by applicable law, JoinPing shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings. To the fullest extent permitted by applicable law, JoinPing’s total liability for claims arising out of or relating to the Service or these Terms shall not exceed the greater of: • the amount you paid to JoinPing during the twelve (12) months before the event giving rise to the claim; or • EUR 100. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, intentional misconduct, or mandatory consumer rights.
24. Indemnity
To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless JoinPing, its affiliates, directors, officers, employees, contractors, service providers, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or relating to: • your use or misuse of the Service • your content • your violation of these Terms • your violation of applicable law • your infringement or misappropriation of third-party rights • your fraud, misconduct, negligence, or misuse of Ping Credits, payments, refunds, or payouts For consumers, this section applies only to the extent permitted by applicable mandatory law.
25. Taxes
Users are responsible for any taxes, charges, or fees that may apply to their use of the Service, except where JoinPing is legally required to collect or remit such amounts. Experts are solely responsible for determining, reporting, invoicing, and paying any taxes, VAT, social contributions, or other charges arising from their activity, earnings, or payouts through JoinPing. JoinPing may collect tax information from Experts and may report payments or earnings to tax authorities where required by law.
26. Privacy
JoinPing processes personal data in accordance with its Privacy Policy. By using the Service, you acknowledge that JoinPing may process personal data as described in the Privacy Policy, including for account management, payments, payouts, fraud prevention, security, moderation, customer support, analytics, legal compliance, and platform improvement.
27. Changes to These Terms
JoinPing may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify Users, such as by posting the updated Terms in the Service or providing notice through the platform. Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
28. Assignment
You may not assign or transfer your rights or obligations under these Terms without JoinPing’s prior written consent. JoinPing may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or by operation of law.
29. Governing Law and Dispute Resolution
These Terms are governed by the laws of Sweden, without regard to conflict-of-law rules. If you are a consumer residing in the EU or EEA, you may have the right to bring claims in your country of residence and to rely on mandatory consumer protection laws in your country of residence. Disputes shall be resolved by the competent courts of Sweden, unless mandatory consumer law provides otherwise. For business users, Experts acting in a business capacity, and other non-consumer disputes, the parties agree that the Stockholm District Court (Stockholms tingsrätt) shall be the court of first instance, unless JoinPing chooses another competent forum available under applicable law. Consumers may also have the right to contact the Swedish National Board for Consumer Disputes (Allmänna reklamationsnämnden, ARN) or another competent consumer dispute body, provided that the dispute meets the applicable requirements.
